Usually its the banner below the message dialog box that is annoying. 
The section I) will solve this problem. 
I don't know what the section II) is about, but if you want to do it, just go ahead.

I)

For the Ad banners that are within the ICQ message window: 
1) Goto "ICQ\Partner" directory 
2) Look for the following files: icqateima32.dll icqateimg32.dll icqateres.dll 
3) Once you have located the files, you can either rename them or delete them 
(I do not recommend deleting them, rather just rename the files)

II)

For the SMS banner that appears on the contact list: 
1) Goto "ICQ\Partner" directory 
2) Delete or Rename the "partner.xml" to something else (e.g. Rename to $$$partner.xml) 
3) Create a file called "partner.xml" 
4) Change the attribute of the file to read-only mode
